ExxonMobil shareholders voted Wednesday to move the company’s legal domicile from New Jersey to Texas, ending a 144-year corporate tie to the Garden State.

The measure passed with 71.3% support at the company’s annual meeting in Texas. The oil giant has maintained its operational headquarters in Spring, Texas, since 1989, where most of its U.S. workforce and executive leadership are based. The change aligns its legal home with its primary business operations.

ExxonMobil traces its roots to the Standard Oil Company of New Jersey, incorporated on August 5, 1882. While the company evolved through mergers — including the 1999 creation of ExxonMobil — its legal incorporation remained in New Jersey until this vote. The board of directors had unanimously recommended the move in March, citing stronger shareholder protections and a more business-friendly legal environment in Texas.

The decision reflects a broader trend of major corporations relocating to Texas for regulatory and legal advantages. Company leaders have emphasized that the redomiciliation will not affect day-to-day operations, employee locations, or tax obligations in other states.

The move requires final procedural steps but is expected to take effect later this year. Texas has actively worked to attract corporate headquarters and legal domiciles through legislation that enhances protections for businesses against certain shareholder litigation.

This development comes as ExxonMobil continues major investments in oil and gas production while expanding its lower-carbon initiatives. The company employs thousands of workers across Texas and remains a significant economic force in the state.
